Terms of Service

1. Acceptance of terms

Castling Financial is owned and operated by Castling Holdings LLC. These Terms of Service (the "Terms") are an agreement between you and Castling Holdings LLC ("Castling," "we," or "us") governing your access to and use of Castling Financial and related websites, apps, APIs, Workers, and connectors (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

The Service provides financial data, metrics, and visualizations derived from public company filings, plus optional Castle AI chat and MCP connectors for any AI with an MCP connector, for informational and educational purposes. The Service does not provide investment, financial, legal, or tax advice. See our Disclaimer for important information about the limits of the data and our liability.

The Service is offered worldwide. We do not geo-block access by country of residence, but you remain responsible for complying with laws that apply to you where you use the Service.

3. Accounts and subscriptions

Browsing public dashboard data does not require an account. Castle AI, MCP access, and paid features require email one-time-code sign-in and an active Castling profile. You are responsible for activity under your account and for keeping access to your email secure.

Unless a plan expressly allows otherwise, subscriptions are for personal, non-commercial use. Commercial use is not included in current catalog tiers.

4. Paid subscriptions and billing

Paid suite tiers are sold by Castling Holdings LLC and processed by Stripe. Prices are shown on our pricing page in U.S. dollars. Monthly and annual billing periods are available; annual plans are billed once per year at twelve times the displayed monthly-equivalent rate, not as twelve separate monthly charges.

Starting a paid subscription. If you are on the Free tier, you start a paid subscription through Stripe Checkout from Settings or the pricing page. Checkout collects payment details and creates a recurring subscription for the tier and billing period you select.

Changing a paid subscription. If you already have an active paid subscription, plan or billing-period changes (including upgrades, downgrades, and switches between monthly and annual) are made only through the Stripe Customer Portal via "Manage billing" in Settings. We do not change an active paid subscription in-app outside the Portal.

Auto-renewal. Paid subscriptions renew automatically at the end of each billing period unless you cancel before renewal. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis for the then-current fees.

Taxes. Listed prices may not include applicable sales, use, VAT, GST, or similar taxes. Stripe may calculate and collect taxes where required by law; any tax shown at checkout or in the Portal is in addition to the listed plan price unless we expressly state otherwise.

Cancellation through Manage billing. You may cancel renewal through the Customer Portal. Cancellation typically takes effect at the end of your current paid billing period; you retain paid access until that period ends unless we state otherwise in the Portal or at checkout. Canceling renewal does not delete your Castling account.

Failed payments. If a renewal charge fails, Stripe may retry collection and your subscription may enter a past-due or similar status. We may suspend or downgrade paid features if payment is not successfully collected after reasonable retries, consistent with our systems and Stripe's rules.

Refunds. Except where required by applicable law, subscription fees are non-refundable, including for partial billing periods, unused time, or downgrades. Nothing in these Terms limits any non-waivable consumer rights you may have under the laws of your jurisdiction.

Entitlements and records. Your active suite tier and billing status in the Service are driven by Stripe subscription events we receive via webhook and by our billing records. Displayed tier may lag briefly after Checkout or Portal changes while events are processed.

Account deletion. Deleting your Castling account is separate from canceling renewal through Manage billing. If you delete your account while a paid subscription is active, we cancel the associated Stripe subscription immediately as part of deletion; paid access ends when that cancellation takes effect. Account deletion does not entitle you to a refund of fees already paid except where applicable law requires otherwise. If you only want to stop future renewals without deleting your account, cancel through Manage billing first.

5. Castle AI and MCP

Castle AI chat may send your prompts and necessary context to our model provider (OpenRouter) to generate responses. MCP connectors let third-party AI clients call Castling tools under your OAuth grant and plan limits. Usage is metered (for example MCP calls per month and Castle AI messages per day). We may refuse, rate-limit, or suspend access to prevent abuse or protect infrastructure.

Your Castle AI conversation history is stored locally in your browser (on your device), not on our servers; you can clear it at any time through the in-chat controls or your browser settings. By using Castle AI you agree that your chats may be reviewed and used to improve our AI models.

Model outputs can be wrong, incomplete, or outdated. Castle AI and MCP tools retrieve filing-backed data where available, but retrieval does not guarantee correctness. You remain responsible for how you use outputs. Do not submit secrets or sensitive personal data you are not comfortable sending to our subprocessors.

6. License and acceptable use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use (unless your plan states otherwise). You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• scrape, harvest, or systematically extract data from the Service beyond ordinary interactive use, or place an unreasonable load on our infrastructure;
• attempt to gain unauthorized access to, interfere with, or disrupt the Service or its underlying systems;
• resell, redistribute, or commercially exploit the Service or its data without our prior written permission;
• bypass plan limits, share accounts in a way that defeats metering, or misuse MCP OAuth grants;
• remove, obscure, or alter any proprietary notices or use the Service in a way that misrepresents its source or accuracy.

Public EDGAR-derived warehouse reads via the browser anon key are intentional for the static dashboard. That does not grant a right to abuse our APIs, Workers, or embedding systems, or to circumvent paid feature limits.

7. Intellectual property

The Service, including its design, branding, code, and original content, is owned by Castling Holdings LLC and protected by applicable intellectual property laws. Underlying financial data is sourced from public filings (e.g., SEC EDGAR) and remains subject to its original terms.

8. Third-party data and services

The Service relies on third-party data sources and infrastructure providers (including Supabase, Stripe, OpenRouter, Cloudflare, and Google for advertising conversion measurement). We are not responsible for the accuracy, availability, or practices of any third party, and we are not affiliated with or endorsed by the SEC or any data source. How we and our providers handle personal information is described in our Privacy Policy.

9. Export controls and sanctions

You may not use the Service if you are located in, ordinarily resident in, or organized under the laws of a country or territory subject to comprehensive U.S. sanctions, or if you are on any U.S. government restricted-party list, or if your use would violate applicable export-control or sanctions laws. You are responsible for compliance with those laws.

10. Disclaimer of warranties

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that data will be accurate or complete.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CASTLING HOLDINGS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

12. Indemnification

You agree to indemnify and hold harmless Castling Holdings LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Service or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or to protect the Service or other users. You may stop using the Service at any time.

Canceling a paid subscription through Manage billing stops future renewals as described in Section 4 and does not by itself delete your account or remove your sign-in. Deleting your account cancels an active paid subscription immediately and removes your profile as described in Section 4; it is not a substitute for canceling renewal if you intend to keep your account on Free.

Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, billing obligations accrued before termination, and governing law) will survive termination.

14. Changes to the Service or Terms

We may modify or discontinue the Service, or update these Terms, at any time. Changes are effective when posted. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

15. Governing law and venue

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict of laws principles. Except where prohibited by applicable law, you agree that disputes arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of Michigan, United States, and you consent to personal jurisdiction there.
